XrayBid is a web-based SaaS tool that helps procurement professionals compare supplier quotations. The Service uses artificial intelligence to parse, normalize, and compare pricing data from uploaded documents (PDF, Excel, images) across different currencies, units, and languages.

2. Acceptance of Terms

By creating an account or using the Service, you confirm that:

• You are at least 18 years old
• You have the legal capacity to enter into this agreement
• You will comply with these Terms

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Use of Service

4.1 Permitted Use

You may use the Service to:

• Upload and process quotation documents
• Compare pricing across multiple suppliers

• Attempt to reverse engineer or extract the AI models

• Exceed usage limits through circumvention

5. Subscription and Payment

5.1 Free Tier

Free accounts are limited to 3 document analyses per month. Unused analyses do not carry over.

5.2 Paid Subscriptions

Paid plans are billed on a recurring basis (monthly or annually). By subscribing, you authorize us to charge your payment method automatically.

5.3 Price Changes

We may change subscription prices with 30 days' notice. Price changes apply to the next billing cycle.

5.4 Payment Processing

Payments are processed by our third-party payment provider (Paddle). By making a purchase, you also agree to their terms of service.

6. Intellectual Property

6.1 Our Rights

The Service, including its technology, design, and content, is owned by XrayBid and protected by intellectual property laws. You receive no ownership rights through use of the Service.

6.2 Your Content

You retain ownership of documents you upload. By uploading content, you grant us a limited license to process your documents solely to provide the Service.

6.3 Feedback

Any suggestions or feedback you provide may be used by us without obligation to you.

7. Data Processing and Privacy

7.1 Document Handling

• Uploaded documents are processed using AI and OCR technology
• Documents are not permanently stored on our servers
• Processed files are automatically deleted within 1 hour after analysis

7.2 AI Processing

Our Service uses artificial intelligence to extract and compare data. While we strive for accuracy, AI-generated results may contain errors. You are responsible for reviewing and verifying all output.

8. Disclaimers

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Professional Advice

The Service provides data processing tools only. It does not constitute professional procurement, financial, or legal advice. You should independently verify all information before making business decisions.

8.3 Accuracy

We do not guarantee the accuracy, completeness, or reliability of AI-processed results. Currency conversion rates are approximate and may not reflect real-time market rates.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• XrayBid shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim
• We are not liable for decisions made based on Service output
• We are not liable for third-party service interruptions

10. Indemnification

You agree to indemnify and hold harmless XrayBid and its affiliates from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service

11. Termination

11.1 By You

You may cancel your account at any time through your account settings.

11.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay applicable fees

11.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination will survive.
